Innoterra Limited: what the offer document says

Published 28 Oct 2026 · 2,152 words · read from the DRHP

01At a glance

What the company does: collects raw milk from farmers through bulk milk collection centres and supplies it chilled to an institutional buyer; distributes cattle feed made for it by contract manufacturers; and sources fresh fruit (including ripening) and staples for retailers and wholesale markets through its FarmLink platform (AP p.3).

Who pays it: for raw milk, a single customer, Milky Mist Dairy Food, since April 2025; for fruit, modern and general trade and wholesale markets; for cattle feed, distributors and farmers (AP p.3, AP p.4).

Why it is raising money: ₹106.75 million for new or replacement milk collection centres and chillers, ₹547.45 million for working capital, and the rest for unidentified acquisitions and general purposes (AP p.5).

How fast it has grown: revenue fell from ₹1,995 million in FY23 to ₹1,635 million in FY25, then reached ₹2,367 million in the nine months to December 2025 (AP p.6).

The one thing to understand: a thin-margin trading business that has not made an operating profit. EBITDA was negative in all four periods, and the small profits in FY25 and the nine months to December 2025 came from deferred-tax income of ₹136.24 million and ₹89.94 million (AP p.7, DRHP p.243).

02The business, in plain words

A milk aggregator buys milk from small dairy farmers at village collection centres, chills it, and sells it in bulk to a dairy company that processes and brands it. The margin is the gap between the price paid to farmers and the price the dairy pays, less collection, chilling and transport.

A farmer in Tamil Nadu brings milk to an Innoterra collection centre → it is tested, recorded on the InnoDairy app and chilled → Innoterra trucks it to its aggregation hub and on to Milky Mist → Milky Mist pays per litre, about ₹40.42 in the nine months to December 2025.

The company operated 122 collection centres across Tamil Nadu, Andhra Pradesh and Karnataka (AP p.4). All milk in the nine months to December 2025 came from Tamil Nadu and Andhra Pradesh (AP p.8). It owns no manufacturing plant for cattle feed (DRHP p.26).

Earnings equation: Profit ≈ litres × (price from dairy − price to farmer − chilling and logistics) + trading margin on fruit, staples and feed − overheads. Gross margin was 6.09% in the nine months to December 2025 (AP p.7).

Trade receivable days were 15 in FY23, 7 in FY24, 11 in FY25 and 10 in the nine months to December 2025 (DRHP p.34).

05What the growth is made of

Milk volumes fell by more than a third in FY25 and recovered in the nine months to December 2025, when daily procurement nearly doubled (AP p.7). FarmLink has grown every year, from ₹118 million in FY23 to ₹626 million in nine months of FY26, with fruit tonnage up from 570 to 7,789 (AP p.3, AP p.7). The losses have narrowed, but EBITDA has not turned positive (AP p.7).

06Earnings quality

The reported profits are tax credits. Before tax, the company lost ₹135.25 million in FY25 and ₹54.66 million in the nine months to December 2025 (our arithmetic from DRHP p.243). Deferred-tax income, an accounting credit for expected future tax savings, not cash, turned those into small profits (DRHP p.243). Operating cash flow was negative in every period (AP p.6). The statutory auditors made observations under the Companies (Auditor's Report) Order (DRHP p.28).

Net worth fell to ₹41 million after the FY24 loss and was rebuilt by new shares issued to the parent, Milklane Holding, which acquired 2,086,122 shares in the past year at an average of ₹116.25 (AP p.6, AP p.9). The issue is made under Regulation 6(2) of the SEBI ICDR Regulations because the company does not meet Regulations 6(1)(a) and 6(1)(b) (AP p.1).

Some immediate relatives of the individual promoters have not provided the information needed for promoter-group disclosures, and the company has applied to SEBI for an exemption (AP p.9). The company does not own the "Innoterra" trademark it trades and will list under; it uses it under licence (AP p.9).

12What changed just before the IPO

  • Customer: Milky Mist became the sole raw-milk customer from April 2025 (AP p.4).
  • Capital: shares issued to Milklane Holding at about ₹116 each (AP p.9).
  • Share structure: a split to ₹5 face value on 12 May 2026 and a 4.6-for-1 bonus on 15 June 2026 (AP p.9).
  • Borrowings: cut from ₹116 million to ₹30 million (AP p.6).
  • Last allotment: 16,473,961 shares were allotted on 19 June 2026 under the bonus issue, at nil consideration (DRHP p.325).
  • Auditor: no change of statutory auditor in the three years before the filing (DRHP p.69).
  • Company form: the company became a public limited company in June 2026 (DRHP p.3).

13Capacity and expansion

The proceeds add collection centres and replace chillers over FY27 to FY29 (AP p.5). The company operates as an asset-light business, with cattle feed made by contract manufacturers (AP p.3, DRHP p.26).

14Market size and industry structure

The 1Lattice report cited in the offer document estimates agritech penetration in India at 0.30% in FY25 and projects 3.00% by FY30 and 5.00% by FY35 (AP p.4). Those projections are 1Lattice's, and newboard has not tested them.

15Competitive position

What the document claims, and what it rests on:

  • Digital platforms, InnoDairy and FarmLink, connecting farmers with enterprise buyers (AP p.3, DRHP p.29).
  • A farmer network of 17,451 registered farmers (AP p.7).

Against that: one milk customer, two sourcing states, and thin gross margins (AP p.7, AP p.8).

16Peers the company named

The peer comparison was not read for this study. For Innoterra the document gives return on net worth of 14.02% for the nine months to December 2025, not annualised and driven by the tax credit (AP p.6). No P/E is possible for the company until a price band is set.

17Risks, in plain words

  • One customer. Milky Mist takes all the raw milk (AP p.8).
  • Two states. All milk comes from Tamil Nadu and Andhra Pradesh, with no binding farmer contracts (AP p.8).
  • Losses. EBITDA negative in every period (AP p.7).
  • Perishables. Spoilage and quality failures in milk and fruit (AP p.8).
  • Prices. Milk, fruit and staples prices swing seasonally (AP p.8).
  • Shared services and trademark. Depends on a promoter-group company and a licensed name (AP p.9).

18Litigation and regulatory matters

A group company, Districo India, has received a show-cause notice from the Azadpur Agricultural Produce Marketing Committee over an unauthorised cold-storage installation (AP p.10).

20What the offer document does not say

In the sections read for this study, the document does not give:

  • The terms of the Milky Mist arrangement, such as duration or pricing formula, in the pages read.
  • When EBITDA is expected to turn positive.
  • What the unidentified acquisitions might be.
  • The cost of the shared-services and trademark licences.
  • The price band, lot size or issue dates, which is normal at DRHP stage.

21Five questions for management

  1. What happens to 62% of revenue if Milky Mist stops buying?
  2. What assumptions support recognising ₹226 million of deferred-tax income over FY25 and the nine months to December 2025?
  3. Why did milk volumes fall by a third in FY25?
  4. What does the company pay the promoter group for shared services and the Innoterra trademark?
  5. What kind of acquisitions are planned with the proceeds?
