About Fusion Klassroom Edutech: business, products and customers

Fusion Klassroom Edutech runs coaching and skill courses for school students and job seekers through partner centres in Mumbai, a learning app and programmes for state governments and institutions. Its shares trade on BSE SME.

Fusion Klassroom Edutech was set up in Mumbai in 2016 by Alka Nikhil Javeri, Dhruv Nikhil Javeri and Dhumil Nikhil Javeri, after Alka Nikhil Javeri had run a coaching academy since 2008. It earns money four ways: coaching for classes 8 to 12, JEE, NEET and CA at thirty partner centres in Mumbai; a subscription learning app with more than a hundred recorded courses; books, courseware and tablets preloaded with its content; and academic and skilling programmes run for state governments, skill councils, schools and institutions, such as its work with the Government of Rajasthan and AI and machine learning labs in Maharashtra.

The way it works shapes the numbers. The company records the cost of making video courses and building its app as intangible assets and writes them off over several years, so reported profit is well above the cash it actually keeps; in each of the last three years it spent more on content, technology and equipment than its business brought in. Part of the tuition fees goes on to outside teaching vendors, devices are bought and held as stock before they are sold, and government and institutional programmes arrive in large, uneven contracts.

Read more about the business

Most revenue comes from a few places and payers: one customer gave about two fifths of FY26 revenue and Uttar Pradesh more than two fifths, with Maharashtra and Rajasthan most of the rest. The app is priced low, about a thousand rupees per subscriber on average, while an offline learner pays about forty thousand.

The offer document compares it with Physicswallah, MPS and Arihant Academy, listed companies in coaching, learning content and education services, and notes that more than ten thousand companies work in Indian online education.

From the offer document (RHP, July 2026), the only company document available; no annual report or results as a listed company were available to read.

In its favour

  • Sales have grown very fast: 69% a year over three years.
  • It earns a high return on the money it uses: ROCE 61% in FY26.
  • It brings in more cash than it shows as profit: ₹10.7 cr against ₹7.6 cr in FY26.
  • It has little debt for its size: debt to equity 0.19.

To watch

  • Whether the top customer and the Uttar Pradesh business, together a large part of revenue, renew and grow (offer document, p.29 and p.38).
  • The rising write-off of capitalised content and technology as the IPO money is spent on more of it (offer document, p.100 and p.212).
  • Use of up to a quarter of the fresh issue for acquisitions not yet identified, under a monitoring agency appointed at BSE's direction (offer document, p.68 and p.100).
  • The offer document's warning that media wrongly described a film actor as an investor; the company says Suniel Shetty is a mentor for some of its initiatives, not an investor (offer document, p.31).
  • Customers take longer to pay than before: 10 days in FY26, against 0 in FY23.

From the company's documents first, then the reported figures read by fixed rules, the same for every company. Facts, not a view on the shares.

Fusion Klassroom Edutech debt and cash flow

Balance sheet · Cash flow · Working capital

The company's own money, its net worth, has grown fast. It borrowed much more last year. Its loans are smaller than its own money. Last year the business brought in more cash than it showed as profit. It spent more on assets and investments than the business brought in, and raised the rest from loans or shares. Customers take longer to pay than they did in FY24, which ties up more of the company's money in unpaid bills.

Is it a good business? Six questions

Each answer is about that one question, read from the documents; tap one for the evidence. Not a view on the shares.

Klassroom earns course fees from students and contract fees from governments and institutions, and its reported profit grew fast in the last two years.

Its weak spots are that one customer and one state bring in much of the money, and that building content uses more cash than the business makes.

WatchCan it set its own prices? No. Its pitch is low prices, and it competes with many online and offline coaching providers.
The evidence. The app is priced at ₹1,250 a year (₹3,000 for the enterprise version); average collection was ₹991 per online subscriber.Offer document, p.30 and p.149
WatchHow strong is it against rivals? It is small in a crowded field with much larger listed players, though its government and skill council partnerships set it apart.
The evidence. The offer document cites more than ten thousand companies in Indian online education and lists Physicswallah, MPS and Arihant Academy as listed peers.Offer document, p.122, p.123 and p.135
WatchWho are its customers?Students and parents, but also a few large institutional payers, one of whom brings in about two fifths of revenue.
The evidence. The top customer gave 40.11% of FY26 revenue and the top ten 78.72%; Uttar Pradesh gave 42.60%.Offer document, p.29 and p.38
WatchDoes it need a lot of money?Yes. It keeps spending on course content, its app and equipment, more than its business has brought in each year.
The evidence. Investing outflows were ₹12.4 cr in FY26 against ₹10.7 cr from operations, and the offer document lists the resulting negative cash flow as a risk.Offer document, p.29 and p.241
AverageCan it keep finding new work?Learner numbers and institutional partnerships have grown quickly, but there is no order book to show what comes next.
The evidence. Subscribers reached 2,66,986 and registrations 6,59,048 by March 2026; partnerships with NSDC, TSSC and MSSDS were added in FY26; no backlog is disclosed.Offer document, p.30 and p.146
WatchDo good and bad years swing a lot? They have. The company made a loss three years ago and then more than doubled sales in a single year.
The evidence. A loss of ₹0.68 cr in FY23; revenue rose 128% in FY26; the offer document warns recent growth may not be sustained.Offer document, p.35, p.38 and p.234
