About Artemis ADR Marketplace: business, products and customers

Artemis ADR Marketplace, until recently called Jetmall Spices and Masala, has stopped trading spices and food products and is building an online place where people and businesses can settle disputes through arbitration and mediation instead of going to court. Its shares trade on BSE SME.

The company listed on BSE SME in 2021 as Jetmall Spices and Masala, a Chennai trader of spices, masala, food grains and grocery products. New promoters took control in September 2025 through a share purchase and an open offer, the old promoters' remaining shares were moved to the public category, the registered office was later moved to Chandigarh, and the name changed in May 2026.

Shareholders changed the company's main objects in December 2025 to alternative dispute resolution: arbitration, mediation, conciliation and negotiation, along with training of mediators and arbitrators, advisory work and running dispute resolution centres. The food business stopped on 14 December 2025 and the new business started the next day. The annual report does not describe the platform's customers, its fees or how many disputes it has handled.

Read more about the business

Because the switch happened late in the year, the FY26 accounts mix the last months of a shrinking trading business with the first few months of a service business, so the figures say little about how the new business will earn. The cost of building the platform has been paid to Jupitice Justice Technologies, a firm the accounts call a related entity of the promoters, and is held on the balance sheet as an intangible asset under development rather than charged as an expense. Staff services also come from the same group and the office is rented from Aeren IT Solution, another related entity.

The money for the new business came from convertible warrants issued to Bridge India Fund, a foreign portfolio investor, in February 2026, most of which was paid upfront and was held largely as a bank fixed deposit at the year end. The documents name no competitors.

From the FY26 annual report (filed August 2026), the 2021 prospectus and the company's exchange announcements.

In its favour

  • It has little debt for its size: debt to equity 0.01.

To watch

  • The half year results to September 2026, the first full period of the new business alone (trading window notice, 28 September 2026).
  • Recovery, provision or write-off of old receivables and advances from the previous management's time (Annual report FY26, p.78).
  • Payment of the balance on the Bridge India Fund warrants and their turning into shares within 18 months of 6 February 2026 (Annual report FY26, p.77).
  • Who runs the company after the resignations of the manager in August 2026 and of the whole-time director on 22 September 2026 (Annual report FY26, p.24; exchange announcement, 22 September 2026).
  • Customers take longer to pay than before: 3487 days in FY26, against 138 in FY15.

From the company's documents first, then the reported figures read by fixed rules, the same for every company. Facts, not a view on the shares.

A tax rate above 60% or below zero (FY22, FY26) comes from tax charged on a small or negative profit, as reported.

Earnings per share before FY23 is on the share count of that time, before later bonus or share issues, so it does not compare with the years after.

The company's own money, its net worth, has grown fast. It has almost no borrowings. Last year the business used more cash than it brought in. It spent more on assets and investments than the business brought in, and raised the rest from loans or shares. Customers take longer to pay than they did in FY24, which ties up more of the company's money in unpaid bills.

The company says the warrant money is being used, or will be used, to develop the dispute resolution marketplace, for sales and marketing, and for working capital. The warrants were allotted on 6 February 2026 and turn into shares within 18 months once the balance is paid. The company also says that if old receivables and advances from the previous management's time are not recovered within a year of the change in control, it will consider provisions or write-offs.

Is it a good business? Six questions

Each answer is about that one question, read from the documents; tap one for the evidence. Not a view on the shares.

Artemis has given up its old food trading and is spending its new investor money on an online dispute resolution platform that has only just started earning.

Its weak spots are that the documents show no customers or fees for the new business yet, much of the work and the office come from firms linked to the promoters, and money owed from the old business may not come back.

WatchCan it set its own prices? No fee or pricing for the new service is disclosed, so there is nothing yet to show whether it can charge well.
The evidence. The new business earned ₹0.20 cr in its first months; the annual report gives no price list, fee model or number of cases.Annual report FY26, p.72 and p.78
WatchHow strong is it against rivals? The business is new and the documents name no rivals and no advantage over them.
The evidence. The company lists confidentiality, data security, impartiality, enforceability of outcomes, technology failures, finding qualified professionals and customer adoption among its risks.Annual report FY26, p.34
WatchWho are its customers? No customer of the new business is named or described.
The evidence. The objects say the services are for individuals and entities; revenue is split only between the old and the new business.Annual report FY26, p.33 and p.78
AverageDoes it need a lot of money?Building the platform has cost several crore so far, but the warrant money covers it for now; how much more will be needed is not stated.
The evidence. ₹5.85 cr sits as an intangible asset under development, against cash of ₹20.0 cr at March 2026 raised mainly from warrants.Annual report FY26, p.58, p.67 and p.70
WatchCan it keep finding new work? There is no order book or list of cases, so there is no record yet of finding work.
The evidence. The annual report describes the new objects and the platform being built, but no contracts, cases or partners other than the related firms doing the development work.Annual report FY26, p.33 to 34 and p.77
WatchDo good and bad years swing a lot?Sales have fallen year after year and the business itself has just changed, so there is no steady record to go by.
The evidence. The company says commodity trading volumes and profits fell sharply, especially in FY25, before it changed its main objects in December 2025.Annual report FY26, p.33
