About AVATAR Industries: business, products and customers

AVATAR Industries, once a maker of steel parts called ASL Industries, now books its revenue from trading goods through a subsidiary and says it is building an artificial intelligence and software business. Its shares trade on NSE Emerge.

AVATAR Industries was incorporated in 1992 and, as ASL Industries, made forged products and sheet metal parts for automobiles and railways; CRISIL describes it as part of the Jamshedpur based ASL group. In 2024 Skybridge Incap Advisory LLP took control through a share purchase agreement and open offer, after which the manufacturing business was shut, and in May 2025 shareholders approved changing the main business to information technology and computer services. The name changed to AVATAR Industries from 6 April 2026, and the registered office, given as Kolkata in filings up to December 2025, is now in Mumbai.

In February 2026 the company bought two small companies, ASL E-Ventures and ASL Infineon Ventures; ASL E-Ventures, with share capital of ₹0.10 cr, recorded all of the group's FY26 revenue of ₹102.9 cr, entered as trading sales in the January to March quarter. The goods bought cost ₹102.9 cr, so the trading earned no margin, and the profit of ₹0.37 cr came from interest on ₹34.7 cr lent to bodies corporate and other entities. The accounting policies in the notes describe revenue from software and technology services, while the revenue note records only trading sales.

Read more about the business

The company says it is building an asset light business in enterprise software, artificial intelligence and related services; its May 2026 press release spoke instead of a focus on EdTech, and in July 2026 it set up AVATAR AI MindLab for enterprise AI adoption, skilling, managed services and supply of trained staff. In June 2026 the board approved moving the shares from NSE Emerge to the NSE main board, subject to members' and regulatory approval.

The company's documents name no competitors or comparable listed companies, and no customers or suppliers for the FY26 trading.

From the FY25 and FY26 annual reports, CRISIL's rating note of August 2025 and the company's exchange announcements and press releases from November 2025 to July 2026.

  • Repayment of the ₹34.7 cr lent to bodies corporate and other entities, whose names the accounts do not give (annual report FY26, p.64).
  • Auditor and management changes: C.P. Rawka & Co. resigned on 18 February 2026, citing its peer review certificate; the MD and CFO resigned on 10 November 2025 and the company secretary on 2 December 2025 (annual report FY26, p.20 and p.24).
  • Differences in the company's own documents: the June 2026 press release gives a different FY26 net profit from the audited accounts, and the directors' report a different share count from the notes (press release, 17 Jun 2026, p.3; annual report FY26, p.18 and p.93).
  • CRISIL's B rating marked issuer not cooperating (CRISIL note, 29 Aug 2025, p.1), and the members' vote on moving to the NSE main board (board meeting outcome, 17 Jun 2026, p.1).
  • It paid no dividend in the past year.

Half-yearly results · Profit and loss

Sales have grown very fast. Last year profit fell even as sales rose, so the company kept less from each rupee of sales.

A tax rate above 60% or below zero (FY15, FY18, FY19, FY21) comes from tax charged on a small or negative profit, as reported.

Earnings per share before FY17 is on the share count of that time, before later bonus or share issues, so it does not compare with the years after.

Is it a good business? Six questions

Each answer is about that one question, read from the documents; tap one for the evidence. Not a view on the shares.

AVATAR Industries earned its latest revenue by buying and reselling goods through a newly bought subsidiary, at no profit, while interest on money it has lent out paid its costs.

Its weak spots are that it has no proven business of its own yet, most of its money is lent to outside parties, and its auditor and top managers have changed in quick succession.

WatchCan it set its own prices? There is no sign of it. In the latest year it resold goods for slightly less than it paid for them.
The evidence. Trading sales of ₹102.87 cr against purchases of ₹102.88 cr in FY26.Annual report FY26, p.94 and p.95
WatchHow strong is it against rivals? The documents describe no product or service already in the market; the software and AI plans are new and have changed in emphasis within months.
The evidence. The May 2026 release spoke of EdTech; the annual report and July 2026 release describe enterprise AI, software and skilling, with AVATAR AI MindLab set up on 28 July 2026.Press release, 26 May 2026, p.3; annual report FY26, p.17 and p.36; press release, 30 Jul 2026, p.2
WatchWho are its customers? No customer or supplier is named for the latest year's sales.
The evidence. Money owed by customers was ₹0.19 cr at March 2026 against ₹102.9 cr of trading sales; the related party note lists only the two subsidiaries and two officers.Annual report FY26, p.92, p.95 and p.96
AverageDoes it need a lot of money? It needs little money to run and has no debt, but most of its net worth is lent to other parties at a low rate rather than used in a business.
The evidence. No fixed assets and no borrowings at March 2026; ₹34.7 cr of loans and advances against ₹35.4 cr of equity, earning about 1.95%.Annual report FY26, p.64, p.69 and p.92 to p.93
WatchCan it keep finding new work? Its old manufacturing stopped after the takeover, and the only new revenue so far came in a single quarter through one subsidiary.
The evidence. The FY25 report says the steel parts business was shut after the takeover; consolidated total income rose from ₹0.34 cr in the October to December 2025 quarter to ₹103.2 cr in the next.Annual report FY25, p.36; press release, 26 May 2026, p.3
WatchDo good and bad years swing a lot?Yes. Revenue went from nothing to a large sum in one quarter, so there is no steady pattern to judge.
The evidence. No revenue from operations in FY25; ₹102.9 cr in FY26, all in the last quarter.Annual report FY26, p.17 and p.78; press release, 26 May 2026, p.2
