About Dudani Retail: business, products and customers

Dudani Retail designs and makes women's ethnic wear, mostly kurtas and suit sets, in Jaipur, and sells it online under its own Divena brand. It also makes clothes for labels owned by a large online fashion store and supplies a quick delivery app. Its shares trade on BSE SME.

The company designs the clothes, purchases fabric, and cuts, stitches and finishes them in a rented unit in Jaipur, sending dyeing, printing, embroidery and handwork to outside job workers. Its own Divena range covers suit sets, kurtas, dresses, sarees, nightwear and lehengas; men's shirts under Millennial Men are bought finished from other makers, and it also trades some grey fabric.

Three kinds of customer bring in the money. Divena is listed on Myntra, Amazon, Flipkart, Ajio, Nykaa Fashion, Tata Cliq and Snapdeal and on the company's own website; a fashion marketplace company orders clothes for its own labels such as Roadster and Anouk Rustic just in time, to its designs; and a quick commerce platform takes goods on the condition that unsold goods can be returned and pays every four days for what it has sold, net of its margin.

Read more about the business

This model shapes the numbers. Selling through marketplaces means commissions, freight and returns sit in costs, and most sales depend on a few platforms. Because the company keeps a large stock of finished clothes, a part of each year's reported profit has come from stock building up rather than from cash collected, and operating cash flow was negative in the last two years.

The prospectus compares it with three listed apparel companies, Nandani Creation, Purple United Sales and Mish Designs, while saying they are not strictly comparable in size or products.

Dudani Retail debt and cash flow

Balance sheet · Cash flow · Working capital

The company's own money, its net worth, has grown fast. Its loans are smaller than its own money. Last year the business used more cash than it brought in. It spent more on assets and investments than the business brought in, and raised the rest from loans or shares. Customers take longer to pay than they did in FY24, which ties up more of the company's money in unpaid bills.

What the company said, and what happened

The company's own statements, attributed, set against what it later reported; not newboard's estimates

The company says its revenue stayed flat for three years mainly because it lacked working capital to purchase in bulk, hold stock and widen its range. With the issue money, all planned for FY27, it intends to install embroidery machines to bring that work in house, repay most of its bank cash credit, and use more working capital to reach middle income buyers with higher volume products, list on more platforms, try offline retail and grow its licensed manufacturing and quick commerce supply. The shares were listed on BSE SME from 5 October 2026.

Is it a good business? Six questions

Each answer is about that one question, read from the documents; tap one for the evidence. Not a view on the shares.

Dudani Retail earns its money designing and making women's ethnic wear that is mostly sold through large online marketplaces, and it has made its costs leaner while sales stayed flat.

Its weak spots are a very large stock of clothes that keeps cash tied up, and a heavy reliance on a few platforms and one big customer.

WatchCan it set its own prices? Most sales go through marketplaces that control pricing norms, fees and visibility, and the company says it may not be able to pass on higher fabric costs.
The evidence. The prospectus lists limited control over final retail pricing on marketplaces and changes in platform fees as weaknesses and threats, and says it cannot assure that raw material cost increases can be passed on.Prospectus, September 2026, p.24 and p.113 to 114
WatchHow strong is it against rivals?Online ethnic wear is crowded, and the company has no shops of its own to build loyalty outside the platforms.
The evidence. The prospectus describes the market as highly competitive, including marketplace owned labels, and notes it has no physical retail store; it names Nandani Creation, Purple United Sales and Mish Designs as listed peers.Prospectus, September 2026, p.25, p.82, p.114 and p.119
WatchWho are its customers?Shoppers reach it through a handful of platforms, so a few counterparties decide most of the business.
The evidence. The largest customer gave 37.4% of FY26 revenue and the top ten 75.2%; e-commerce platforms carried 70.4% of sales.Prospectus, September 2026, p.106 and p.116
WatchDoes it need a lot of money?Yes: it holds many designs and sizes in stock and pays suppliers quickly, so working capital keeps rising even when sales do not.
The evidence. Inventory was ₹12.1 cr at March 2026 with holding days of 386; the working capital gap rose from ₹9.8 cr in FY24 to ₹15.0 cr in FY26; operating cash flow was negative in FY25 and FY26.Prospectus, September 2026, p.45 and p.74 to 75
AverageCan it keep finding new work?Licensed work and quick commerce supply add new outlets, but their size depends on the platforms' ordering plans.
The evidence. Licensed manufacturing runs on just in time orders under non-exclusive licences, and unsold quick commerce stock can be returned; the prospectus says the scale of these depends on the counterparties' plans, which are outside its control.Prospectus, September 2026, p.110 to 112
AverageDo good and bad years swing a lot?Yearly sales have been steady, but sales jump around festive seasons and end of season sales, so quarters can differ a lot.
The evidence. Revenue moved between ₹24.6 cr and ₹25.3 cr over FY24 to FY26; the prospectus says festive seasons and end of season sales cause big swings between quarters.Prospectus, September 2026, p.24 and p.101
