About C P S Shapers: business, products and customers

C P S Shapers makes body shaping garments and innerwear under its Dermawear brand, sold in shops and online across India, and has started making garments for other clothing brands. Its shares trade on NSE Emerge.

C P S Shapers, set up in 2012, sells shapewear for men and women under the Dermawear brand: body and tummy shapers, saree shapewear, active pants and bras, and lately cotton bonded vests, trunks and briefs whose seams are bonded rather than stitched. It makes them at its unit in Meerut and sells through distributors, multi-brand outlets and marketplaces such as Amazon, Flipkart, Myntra and Nykaa, as well as its own website. In FY26 it began making garments to other brands' designs, and since May 2026 has announced orders from Damensch, Raymond Lifestyle, Reliance Retail and a buyer in Poland.

The way it works shapes the numbers. A brand with thousands of sizes and styles must hold a lot of stock, and selling through distributors and marketplaces means waiting to be paid, so stock and money owed together came to about two thirds of a year's sales at March 2026. Materials cost about a third of sales, but staff and other costs such as selling and marketing take nearly all the rest and do not shrink when sales dip, so a weak half turns into a loss and a strong one into a profit, as happened in FY26.

Read more about the business

Cash from operations has been negative for three years. The gap has been filled by the September 2023 IPO, three preferential share issues since January 2025, deposits from distributors and loans, some from finance companies at 15% to 17% interest with the Managing Director's personal guarantee.

The offer document lists Page Industries, Lux Industries, Dollar Industries, K.P.R. Mill and Arvind as listed companies in a similar line of business. The company says it competes with organised domestic makers, unorganised makers, international brands and newer online brands.

From the offer document (August 2023), the FY25 and FY26 annual reports, the September 2025 investor presentation, the FY26 results and the company's order announcements of May to September 2026.

To watch

  • Delivery of the contract orders from Damensch, Reliance Retail and Kontri by September, November and December 2026, and whether repeat orders follow (order announcements, May to September 2026).
  • Family pay: in August 2026 the board approved up to ₹65 lakh for the Managing Director (from ₹48 lakh), ₹20 lakh for the Whole-Time Director and ₹13 lakh for Abhav K Kumar, against FY26 profit of ₹12.8 lakh (annual report FY26, p.30 to 33, p.38).
  • Changes in officers and compliance: two company secretaries resigned in 2024 and 2025, the factory manager resigned on 23 June 2026, and NSE fined the company ₹94,400 for a late trading application (annual report FY26, p.46 and p.70; announcement, 23 June 2026).
  • Funding and tax: 13,200 warrants issued to the Managing Director at ₹750 are due for conversion within 18 months of November 2025, and a GST notice for FY22 is pending (annual report FY26, p.41 and p.122).
  • Customers take longer to pay than before: 87 days in FY26, against 29 in FY20.

From the company's documents first, then the reported figures read by fixed rules, the same for every company. Facts, not a view on the shares.

A tax rate above 60% or below zero (FY20, FY21, FY22, FY25, FY26) comes from tax charged on a small or negative profit, as reported.

Earnings per share before FY24 is on the share count of that time, before later bonus or share issues, so it does not compare with the years after.

Balance sheet · Cash flow · Working capital

The company's own money, its net worth, has grown fast. Its loans are smaller than its own money. Last year the business used more cash than it brought in. It spent more on assets and investments than the business brought in, and raised the rest from loans or shares. Customers take longer to pay than they did in FY24, which ties up more of the company's money in unpaid bills.

Is it a good business? Six questions

Each answer is about that one question, read from the documents; tap one for the evidence. Not a view on the shares.

C P S Shapers earns a high margin on the materials in its Dermawear garments, but staff and selling costs eat almost all of it, so the company barely breaks even across a year.

Its weak spots are flat sales, a lot of stock and unpaid bills, and repeated share sales to keep the business funded.

WatchCan it set its own prices? Not much. The company itself says higher raw material costs may not be passed on in a competitive market.
The evidence. The annual reports list fabric, cotton, yarn and chemical price swings as a threat and say the ability to pass on increases depends on market conditions and competition.Annual report FY25, p.48; annual report FY26, p.59
WatchHow strong is it against rivals? It is a small brand competing with much bigger organised makers, cheap unorganised makers, foreign brands and new online brands.
The evidence. The offer document calls the market fragmented with established brands; the FY26 annual report names organised players, unorganised makers, international brands and digital-first brands as competition.Offer document, p.145; annual report FY26, p.59
AverageWho are its customers?Mostly distributors and online platforms, with a few large ones making most sales; the new contract work comes from well known brands.
The evidence. Top ten customers gave 72.03% of FY23 revenue; FY26 orders came from Damensch, Raymond Lifestyle, Reliance Retail and Kontri of Poland.Offer document, p.243; order announcements, May to September 2026
WatchDoes it need a lot of money?Yes. Stock and unpaid bills keep growing faster than sales, so it has needed fresh share capital and costly loans every year.
The evidence. Inventory ₹13.9 cr and receivables ₹7.5 cr at March 2026; cash from operations negative for three years; preferential issues in January 2025, November 2025 and June 2026; finance company loans at 15% to 17%.FY26 results, p.6 and p.8; annual report FY26, p.39 to 41 and p.102
AverageCan it keep finding new work?Contract orders from known brands are new and growing, but brand sales have not grown for three years.
The evidence. Orders worth about ₹3.8 cr from three Indian brands plus one export order since May 2026, and a contract manufacturing agreement with a value retail chain; revenue was ₹36.0 cr in FY24, ₹30.9 cr in FY25 and ₹31.3 cr in FY26.Order announcements, May to September 2026; annual report FY26, p.8 and p.38; investor presentation, September 2025, p.23
WatchDo good and bad years swing a lot?Yes. Because most costs are fixed, small changes in sales swing the company between losses and profits from one half to the next.
The evidence. Loss before tax of ₹2.8 cr in the half to September 2025 and profit before tax of ₹3.1 cr in the half to March 2026; yearly profit fell from ₹2.5 cr in FY23 to ₹0.13 cr in FY26.FY26 results, p.7; offer document, p.122; annual report FY26, p.38
