About RFBL Flexi Pack: business, products and customers

RFBL Flexi Pack prints and laminates plastic film into rolls and pouches used to pack food, medicines and household goods, at a small plant in Himatnagar, Gujarat. Most of its sales now come from reselling films and packaging bought from other makers, and its shares trade on NSE Emerge.

The company was set up in 2005 as Sabar Flexi Pack and has been controlled since March 2021 by Roopyaa Tradebizz Limited, in which Managing Director Kunjit Maheshbhai Patel holds the majority. At Himatnagar it prints film by rotogravure, laminates layers together with its own inks and adhesives, slits rolls and makes pouches for business customers in food, pharma and home care. It also purchases printed laminates, plain films and woven fabric packaging from other makers and sells them on, and it sells scrap.

Reselling bought goods is now the larger part of the business, so sales are large against profit and margins stay thin; the offer document says the existing machines are old and refurbished, so high precision jobs are bought from outside makers and resold. Raw materials are films priced off crude oil. Almost all sales go to a few customers in Gujarat, including the holding company itself, so collections from those few drive cash flow.

Read more about the business

The May 2026 public issue raised money for a new plant at Dhandha, on land being bought from an erstwhile promoter, and for working capital. Since then the board has approved a subsidiary in the United Arab Emirates, the statutory auditor has resigned and been replaced, and the September 2026 annual meeting was asked to add beverages, drinking water and salt to the company's objects.

The offer document names Uma Converter and Sabar Flex India as listed peers with similar flexible packaging products; Uma Converter is larger, with FY25 sales of about ₹227.5 cr, while Sabar Flex India, at about ₹147.7 cr, was close to this company's size.

From the offer document (Red Herring Prospectus, 2026), the annual report for FY26 and the company's announcements of June and July 2026.

The company's own money, its net worth, has grown fast. It cut its borrowings last year. Its loans are smaller than its own money. Last year the business brought in more cash than it showed as profit. Customers take longer to pay than they did in FY24, which ties up more of the company's money in unpaid bills.

What the company said, and what happened

The company's own statements, attributed, set against what it later reported; not newboard's estimates

The company says the public issue money is to be spent in FY27 on the new Dhandha plant and on working capital, and that the new plant will let it make in house the precision jobs it now purchases from others. It reported confirmed orders of about ₹23.3 cr in April 2026 and a ₹20 cr order from 3B Films in June 2026, to be supplied over four months. Its annual report says margins are likely to stay in line with recent years. It gives no sales or profit guidance.

Is it a good business? Six questions

Each answer is about that one question, read from the documents; tap one for the evidence. Not a view on the shares.

RFBL Flexi Pack earns a thin margin printing and laminating packaging film for a few business customers, and a thinner one reselling film it buys from other makers.

Its weak spots are dependence on a handful of customers and suppliers, an old plant that runs well below capacity, large tax demands and frequent changes in direction.

WatchCan it set its own prices?Prices follow film costs and competition, and the company expects margins to stay where they are.
The evidence. The annual report calls the industry competitive and input-cost-linked and ties raw material costs to crude oil prices.Annual report FY26, p.39
WatchHow strong is it against rivals? Its machines are old and cannot handle high precision jobs, so it purchases such work from other makers.
The evidence. The offer document says the existing plant and machinery are relatively old and refurbished, and that a significant portion of revenue comes from goods bought from third parties.Offer document, p.114
WatchWho are its customers?A very small number of customers, one of them the holding company, take almost everything it sells.
The evidence. The largest customer gave 44.08% and the top ten 99.98% of April to November 2025 revenue; the holding company took 17.80% of FY25 revenue.Offer document, p.49 and p.193
AverageDoes it need a lot of money?Plant spending is modest, but stock and customer credit need funding, which the issue money now covers.
The evidence. The new plant is estimated at ₹12.7 cr and ₹17.8 cr of issue money is set aside for working capital.Offer document, p.112 to 115
AverageCan it keep finding new work?It has orders on hand and a large new customer order, but its own plant is far from full.
The evidence. Confirmed orders were about ₹23.3 cr in April 2026 and 3B Films placed a ₹20 cr order in June 2026; plant use was 36.04% in April to November 2025.Offer document, p.114 and p.197; Announcement, 29 June 2026, p.2
AverageDo good and bad years swing a lot?Packaging demand is steady, but film prices move with crude oil and losing one customer would change a year sharply.
The evidence. The annual report names raw material price risk and customer concentration as the main business risks.Annual report FY26, p.39
