About Shyam Dhani Industries: business, products and customers

Shyam Dhani Industries makes and packs ground spices, masala blends and whole spices under the SHYAM brand at a plant near Jaipur, and sells them through wholesalers, big retail chains and delivery apps. Its shares trade on NSE Emerge.

Shyam Dhani Industries was set up in Jaipur in October 2010 and became a public company in 2024; its Managing Director, Ramawtar Agarwal, has run a spice business of the same name as a sole proprietorship since 1995. It sells 164 varieties: ground spices such as chilli, turmeric and coriander powder, blends such as garam masala and chhole masala, whole spices such as cumin and fennel, and grocery items such as black salt, poha and kasuri methi.

Raw spices are bought from mandis and traders across India, mostly between October and February when quality is best, then cleaned, ground, blended and packed at its own plant at Jatawali, Chomu, near Jaipur; whole spices and groceries are packed at a rented unit in Jaipur's VKIA area. Until FY23 almost all sales went through wholesalers and distributors; since FY24 retail chains such as D-Mart, Reliance Retail and Metro Cash and Carry have taken close to half, and it also sells on Swiggy Instamart, Zepto, Blinkit and Flipkart Minutes and exports a little to the UAE.

Read more about the business

Because spices are bought in season and stocked for the year, a large part of the money goes into inventory, and the company had been funding that with bank loans before the share issue. Retail chains pay wholesale prices and the company pays for sales staff placed in their stores, so modern trade lifts volumes without a matching rise in margin. The Managing Director's proprietorship is both a top ten customer and a top ten supplier and rents the VKIA unit to the company, and a group company, Shyam Sakha Industries, makes whole spices.

The offer document compares the company with two listed spice companies, Madhusudan Masala and NHC Foods, while saying they are not strictly comparable in business model or scale.

From the offer document (Red Herring Prospectus, December 2025) and the company's exchange announcements of June to October 2026.

The years to FY25 come rounded to the nearest crore in the source.

A tax rate above 60% or below zero (FY21) comes from tax charged on a small or negative profit, as reported.

Earnings per share before FY23 is on the share count of that time, before later bonus or share issues, so it does not compare with the years after.

Shyam Dhani Industries debt and cash flow

Balance sheet · Cash flow · Working capital

The company's own money, its net worth, has grown fast. It cut its borrowings last year. Its loans are smaller than its own money. Last year the business used more cash than it brought in. It spent more on assets and investments than the business brought in, and raised the rest from loans or shares. Customers take longer to pay than they did in FY24, which ties up more of the company's money in unpaid bills.

Is it a good business? Six questions

Each answer is about that one question, read from the documents; tap one for the evidence. Not a view on the shares.

Shyam Dhani earns a processing margin on spices it purchases in the mandi, grinds, blends and packs under its own brand.

Its weak spots are that price decides most sales, raw spice costs move with the weather, and stock bought in season ties up a lot of money.

WatchCan it set its own prices?Very little: the company itself says price decides most sales, and large retail chains pay wholesale prices.
The evidence. The offer document states that price is the deciding factor in most cases (p.176) and that retail chains pay wholesale prices and mark up for consumers (p.159).Offer document, p.159 and p.176
AverageHow strong is it against rivals? It has a strong network in Rajasthan and shelf space in big chains, but competes with many brands and faces trademark objections.
The evidence. About 389 distributors and listings with D-Mart, Reliance Retail and Metro (p.159). A court order of 2 January 2025 bars the TIKHALAL mark, and several SHYAM product marks face oppositions (p.298).Offer document, p.159 and p.298
AverageWho are its customers?Distributors and large retail chains, with the top ten giving well over half of sales.
The evidence. Top ten customers gave 56.39% of FY25 revenue and 57.86% in the six months to September 2025, and include Avenue Supermarts, Reliance Retail, Metro and the Managing Director's proprietorship (p.177).Offer document, p.177
WatchDoes it need a lot of money? Not much for plant, but a lot for stock bought in season, which was funded with loans before the issue.
The evidence. Raw material is mostly bought from October to February (p.166). Total borrowings rose from ₹12.8 cr in March 2023 to ₹48.2 cr in September 2025 (p.28), and ₹13.3 cr of issue money is set aside for working capital (p.27).Offer document, p.27, p.28 and p.166
AverageCan it keep finding new work?Spices are bought every day, and it has added retail chains and delivery apps, but sales are still centred on Rajasthan.
The evidence. Modern trade rose from ₹0.3 cr in FY23 to ₹55.2 cr in FY25 (p.160). Rajasthan gave 64.07% of revenue in the six months to September 2025 (p.158).Offer document, p.158 and p.160
AverageDo good and bad years swing a lot?Demand is steady, but raw spice quality and cost change with the seasons and the weather.
The evidence. The offer document says raw material quality varies from season to season with the climate (p.166). The EBITDA margin moved from 8.78% in FY23 to 11.65% in FY25 and 13.58% in the six months to September 2025 (p.163).Offer document, p.163 and p.166
