About UHM Vacation: business, products and customers

UHM Vacation runs an online booking platform where travel agents book hotels, flights, transfers, tours and visas for their customers, with most bookings for trips to Dubai. Its shares trade on BSE SME.

UHM does not deal with travellers directly. Travel agencies, corporate travel desks and independent agents log in to its platform, compare hotels, flights, car hire, sightseeing and visa services sourced from many suppliers, and book them. Hotels and related services bring about seven tenths of revenue, and Dubai alone more than three quarters; a Dubai subsidiary, Arabian Wonder FZC LLC, in which UHM holds 99%, handles bookings in the Gulf.

The company obtains rooms and services at negotiated rates and adds a markup, so hotel and package bookings are counted at their full price as revenue while the margin is the markup. It has won large agents by giving them long credit, which ties up cash in money owed: operating cash flow was negative in FY26. Most of the profit comes from the Dubai subsidiary rather than the Indian company.

Read more about the business

The offer document compared it with three listed travel companies: LGT Business Connextions, Helloji Holidays and International Travel House. UHM listed in June 2026 and plans to spend the new money on its technology platform, a customer support office, its own vehicles for transfers, marketing and working capital, and to start purchasing airline seats and hotel rooms in advance.

UHM Vacation debt and cash flow

Balance sheet · Cash flow · Working capital

The company's own money, its net worth, has grown fast. It has almost no borrowings. Last year the business used more cash than it brought in. It spent more on assets and investments than the business brought in, and raised the rest from loans or shares. Customers take longer to pay than they did in FY24, which ties up more of the company's money in unpaid bills.

Is it a good business? Six questions

Each answer is about that one question, read from the documents; tap one for the evidence. Not a view on the shares.

UHM earns a markup on hotel rooms, transfers and other travel services that agents book through its platform, mostly for trips to Dubai.

Its weak spots are dependence on one destination, long credit given to agents and profit that sits largely in the Dubai subsidiary.

AverageCan it set its own prices? It sets its own markup on negotiated rates, but agents can compare prices across many platforms and costs it cannot pass on are a stated risk.
The evidence. Revenue comes from a markup on negotiated rates plus supplier incentives; the offer document lists costs it may not pass on to agents.Red Herring Prospectus, p.48 and p.171 to 172
WatchHow strong is it against rivals? It competes with global travel agencies, online travel agents and niche platforms in a fragmented market, with little that others cannot copy.
The evidence. The offer document describes the industry as highly competitive and fragmented, with competitors from global agencies to tour operators.Red Herring Prospectus, p.57 and p.180
AverageWho are its customers?Travel agents of many sizes, with the largest one's share falling over time, though the top ten still matter.
The evidence. The largest agent gave 13.2% and the top ten 21.8% of revenue in the eleven months to February 2026, against 49.0% and 70.2% in FY23.Red Herring Prospectus, p.165
WatchDoes it need a lot of money? It owns little, but long credit to agents ties up cash, and the new plan to purchase seats and rooms in advance would need more.
The evidence. Operating cash flow was negative in FY26; the offer document says much working capital is tied up in receivables and lists pre-purchased inventory as a risk.Annual report FY26, p.97; Red Herring Prospectus, p.40 and p.169
AverageCan it keep finding new work?Agents return to the platform for each trip, and outbound travel from India to the Gulf has been growing, but bookings must be won one by one.
The evidence. Revenue rose every year from FY23 to FY26; the offer document says the company must keep adding agents and suppliers to grow.Red Herring Prospectus, p.37 and p.162; annual report FY26, p.31
WatchDo good and bad years swing a lot?Travel moves with seasons, the economy and events in the Gulf, and the company leans heavily on one city.
The evidence. Dubai gave 77.3% of revenue in the eleven months to February 2026; the offer document lists Gulf dependence, economic cycles and seasonality as risks.Red Herring Prospectus, p.34, p.48 and p.164
