About B.A.G. Convergence: business, products and customers

B.A.G. Convergence runs the websites, apps and social media channels of its group's well-known Hindi and English TV news and Bollywood entertainment brands, and earns money from the advertising shown on them. It is based in the Delhi area and its shares trade on NSE Emerge.

The company is the digital arm of the BAG media group led by Anuradha Prasad Shukla as Chairperson and Managing Director. It runs news24online.com, its Hindi version and e24bollywood.com, the News24 and E24 apps, and YouTube, Facebook, X, Instagram and WhatsApp channels, including regional News24 channels for Hindi-speaking states, Dilli24 and News24 Sports. Its editors, sub-editors and producers turn agency feeds and the group's TV content into articles, live blogs and videos, and it also does website building, search optimisation and social media work for clients.

The business model shapes the numbers. The News24 brand belongs to group company News24 Broadcast India and E24 to group company E24 Glamour, whose TV content runs on the company's platforms; the company also earns from these group companies and pays them for advertising, so a part of both revenue and costs is with related parties. Money comes from Google AdSense and YouTube, content partners, and direct advertisers including government departments; with few machines and no factory, margins are high, but customers take time to pay, so trade receivables rise with sales and profit has not always turned into cash.

Read more about the business

The offer document names TV Today Network and Zee Media, both listed TV news companies, as its listed peers; both are many times larger. It says competition comes from better-funded media houses with longer histories and bigger brands, on the same platforms the company relies on.

What is new: the company listed in October 2025 and is spending the issue money on technology, new shows and staff for its websites and channels, a News24 Sports website, more content and brand building. It has signed with Samsung to place its channels on connected TVs and received service orders for LG and Xiaomi connected TVs.

Balance sheet · Cash flow · Working capital

The company's own money, its net worth, has grown fast. It has almost no borrowings. Last year the business used more cash than it brought in. It spent more on assets and investments than the business brought in, and raised the rest from loans or shares. Customers take longer to pay than they did in FY24, which ties up more of the company's money in unpaid bills.

Is it a good business? Six questions

Each answer is about that one question, read from the documents; tap one for the evidence. Not a view on the shares.

The company earns advertising money from the large online audience of its group's news and entertainment brands, with high margins and little capital.

Its weak spots are that the brands belong to group companies, much business is done with them, a few customers give most revenue, and cash comes in slowly.

AverageCan it set its own prices?Partly. Direct sponsorships are negotiated, but much of the money comes from ad networks and platforms that set their own rates and rules.
The evidence. The offer document says copyright strikes by YouTube in June 2023 cut FY24 YouTube revenue by 9.70%.Offer document, p.34
AverageHow strong is it against rivals? The News24 and E24 names are well known, but larger media houses compete for the same audience and advertisers on the same platforms.
The evidence. The offer document says rivals may be better capitalised, with longer histories and greater brand presence, and names TV Today Network and Zee Media as peers.Offer document, p.95 and p.142
WatchWho are its customers?A small group of customers, including group companies, gives most of the revenue, and one customer defaulted.
The evidence. Top ten customers gave 80.87% of FY25 revenue; group companies paid it ₹5.6 cr; the company has filed a recovery case against Culture Machine.Offer document, p.26, p.32 and p.39
AverageDoes it need a lot of money? It needs little money for machines, but a lot gets tied up in money owed by customers.
The evidence. Trade receivables were ₹14.1 cr at March 2025 against ₹6.7 cr a year earlier; the offer document calls the business working capital intensive.Offer document, p.33
AverageCan it keep finding new work?Audiences on its channels are large and it is adding sports, regional and connected TV channels, but there is no contracted revenue.
The evidence. News24 Sports has 3.99 million YouTube subscribers; Samsung, LG and Xiaomi connected TV arrangements are in place.Offer document, p.113, p.119 and p.126
AverageDo good and bad years swing a lot?Sales have grown each year in the offer document, but platform rule changes and advertiser budgets can move revenue sharply.
The evidence. Facebook revenue fell from ₹4.7 cr in FY23 to ₹0.95 cr in FY25 while YouTube and websites grew.Offer document, p.117
