About Acetech E-Commerce: business, products and customers

Acetech E-Commerce finds trending household, personal care, ayurvedic and car care products, buys them from makers and dealers, and sells them online and through a television shopping channel across India. Its shares trade on NSE Emerge.

Acetech began in Bhiwandi, Maharashtra as Acetech Ventures LLP in December 2014, became a public company in February 2024 and took its present name in November 2024. It does not make anything: it spots products that are starting to catch on, tests them with small releases on Meta and other social media, then buys them in bulk from manufacturers and traders and stocks them in three leased warehouses in Bhiwandi, Bangalore and Delhi. The offer document says many of these goods are imported from China and bought through domestic dealers.

Its sales come through five channels: to business buyers on e-commerce platforms, through a television shopping channel, on its own brand websites, through drop shippers and on marketplaces such as Naaptol, Shop101 and GlowRoad. A subsidiary, Conceptive Brains, runs its own small brands (The Good Planet, Motherveda, Rudraveda, Ayurjeet, TheKartClub and Mr Moto) with goods made by others under white label, and a second subsidiary in Delaware, Acetech Ventures Inc., sells in the United States.

Read more about the business

Because it is a trader, revenue counts the full price of goods it has bought, and profit is the gap between its buying price and selling price after platform, marketing, packing and warehouse costs. The offer document explains that its business sales are goods shipped straight to shoppers but invoiced to GST registered firms on the platforms, and that these buyers were given longer credit, so the shift towards them raised margins while more cash sat in unpaid bills and stock. Products do well early in their life and then fade, so the product list changes every year.

The offer document names no listed rivals. It describes its own challenge on the big platforms as intense competition with other sellers and little difference between brands.

From the offer document (Red Herring Prospectus, 2026) and the company's exchange announcement of 23 September 2026.

Acetech E-Commerce debt and cash flow

Balance sheet · Cash flow · Working capital

The company's own money, its net worth, has grown fast. It has almost no borrowings. Last year the business used more cash than it brought in. It spent more on assets and investments than the business brought in, and raised the rest from loans or shares. Customers take longer to pay than they did in FY25, which ties up more of the company's money in unpaid bills.

Is it a good business? Six questions

Each answer is about that one question, read from the documents; tap one for the evidence. Not a view on the shares.

Acetech earns a trader's margin by catching products early, while they still fetch a good price, and moving them through a few big buyers and its own websites.

Its weak spots are how much it leans on two buyers and one supplier, and how much cash it has to put into stock and unpaid bills.

AverageCan it set its own prices?Only early in a product's life. A new trending product can fetch a high price, but copies follow and the price comes down.
The evidence. The offer document says initial demand for trending products is often strong and allows premium pricing before the market fills up, while life cycles are short (p.142 and p.159). On platforms it lists platform fees, intense competition and little brand difference as challenges (p.157).Offer document, p.142, p.157 and p.159
WatchHow strong is it against rivals? It has no plant, patent or long contract to protect it; what it has is speed in spotting and testing products.
The evidence. No plant and machinery and no manufacturing (p.158). No long term agreements with the top ten customers (p.46). Its stated strengths are a model built on short cycle trends and its own small brands (p.158 and p.159).Offer document, p.46, p.158 and p.159
WatchWho are its customers? Two unnamed buyers bring in about two thirds of sales, and the mix between channels has swung a lot from year to year.
The evidence. Top customer or platform 40.87% and second 27.62% of revenue in the half year to September 2025; top ten 85.20% (p.157). The offer document calls this a high risk of customer concentration (p.46).Offer document, p.46 and p.157
WatchDoes it need a lot of money? Not for buildings or machines, but a lot for stock and credit to buyers, and operating cash has gone out each year.
The evidence. The offer document calls the business working capital intensive, with trade receivables a major part of current assets (p.61). Net cash used in operations was ₹0.48 cr in FY24, ₹1.06 cr in FY25 and ₹2.81 cr in the half year to September 2025 (p.254 and p.255). ₹20.0 cr of the issue goes to working capital (p.33).Offer document, p.33, p.61, p.254 and p.255
AverageCan it keep finding new work?It has a set routine for finding and testing new products, and its number of buyers and platforms has grown, but each year's sales rest on new hits.
The evidence. Customers and platforms rose from 337 in FY23 to 782 in FY25 (p.36). The five stage product research process ends with limited releases on social media before scaling (p.145 and p.146). The top products are different in every year shown (p.151).Offer document, p.36, p.145, p.146 and p.151
WatchDo good and bad years swing a lot?Yes. Margins have moved a great deal as the channel mix changed, and the products themselves change every year.
The evidence. EBITDA margin was 4.61% in FY23, 11.02% in FY24, 13.29% in FY25 and 19.25% in the half year to September 2025 (p.36). Television shopping fell from 65.33% of sales in FY23 to 27.62%, and drop shipping from 44.74% in FY24 to 1.24% (p.153).Offer document, p.36 and p.153
